By using Staffly’s roster software, you agree to comply with the terms set forth herein. Users are responsible for maintaining the confidentiality of their account information and for all activities that occur under their account. You must ensure that your use of our software complies with all applicable laws and regulations, including but not limited to labor laws and data protection regulations. Failure to adhere to these terms may result in suspension or termination of your access to the software.

Overview

Staffly is a comprehensive workforce and operational management software, accessible to clients on a subscription basis through our digital platform. You are interested in employing our Services for your business operations. Accordingly, you have consented to subscribe to our Services under the terms specified in this document.

Definitions

For the purposes of this agreement, the following definitions apply:

“Authorized Users”: Employees or contractors whom you permit to use the Service.

“Business Day”: Any day that is not a Saturday, Sunday, or public holiday in Ireland where banks in Ireland are operational.

“Data Protection Legislation”: Refers to the General Data Protection Regulation ((EU) 2016/679) or GDPR, the Data Protection Act 2018, and any related laws amended or updated over time; terms such as “Controller”, “Processor”, “Data Subject”, “Personal Data”, and “processing” are defined according to this legislation.

“Confidential Information”: Any data exchanged between the parties during the term of this agreement, including business details, pricing, technical data, and feedback, that is not meant for public disclosure.

“Documentation”: Online resources provided by us detailing the Service use, accessible via www.staffly.ie/terms or another specified URL.

“Intellectual Property Rights”: Encompass all forms of intellectual property, registered or not, including patents, copyrights, trademarks, trade names, designs, database rights, and any analogous rights anywhere in the world.

“Service”: The workforce and operational management solutions as detailed on www.staffly.ie and the related Order Form.

“Subscription Fees”: Charges applicable to you for accessing the Service, as detailed in the Order Form.

“Term”: The initial duration of the agreement as stated on the Order Form, along with any subsequent renewals.

Service Provision

We will make the Service available to you under the terms of this agreement throughout the Term.

We aim to provide the Service 24/7, barring necessary maintenance for which we will endeavor to notify you in advance.

Support Services are available during regular business hours and may be modified at our discretion.

Licensing

Upon your payment of the Subscription Fees and adherence to these terms, we grant you a non-exclusive, non-transferable license to use the Service and Documentation for your internal business needs, excluding the right to sublicense.

Your Commitments

You will adhere to all applicable laws and regulations in your use of the Service.

You are responsible for any issues arising from your network or the internet that affect the Service delivery.

You will ensure that all data you provide is legal and you own or have permission to use it.

Data Management

We will employ appropriate measures to protect your data and handle it in accordance with our Privacy Policy and any applicable Data Processing Addendum.

Your data is your property, and you bear full responsibility for its legality and accuracy.

Fees and Payment

Subscription Fees are based on the selected Plan and are non-refundable.

We reserve the right to adjust these fees and will notify you 30 days in advance of any changes.

Confidentiality

Each party will maintain the confidentiality of information shared during the Term and will not disclose it without the other’s written consent.

Termination

  • This agreement is effective from the date specified until terminated as outlined herein.
  • Either party may terminate the agreement under certain conditions, such as breach or insolvency.

Legal Framework

These terms shall be governed by and construed in accordance with Irish law.

Disputes arising under these terms will be subject to the exclusive jurisdiction of Irish courts.

This document represents the complete agreement between the parties concerning the subject matter herein and supersedes all prior agreements and understandings. Changes to these terms will be communicated to you and will take effect only with your consent.
